All it'll be is the club issuing new shares to the current owners, who will pay a certain amount of money for these shares, in order to raise some cash. Interesting (and probably quite promising) that they've chosen to pump funds in this way rather than a loan.

Your reading is different to mine. Isn't this more to do with diluting other shareholders?

Well according to the filing they've paid 52.5p per share for over 30m shares, so that's a very expensive way to dilute another person's shareholding.

I'd also be very surprised if there's nothing in the Articles of Association that stops the dilution of a minority shareholding without some kind of agreement in place.

Aren't there only two other shareholders to dilute anyway?

Some interesting stuff going on with the "Reading Football Holding Ltd" right now.

Spotted this last night

Which led me to finding the company pressing litigation against us was HEC Finance 03 Ltd

HEC Finance 03 Ltd are a Hong Kong registered company (0874965 - previously Sun Chung Nam Finance Ltd), Directors are Cindy Miao Ling Liao and So Yuet Tong. Can't see anything interesting about them.

Shares in HEC Finance 03 Ltd are held by Satinu Resources Group Ltd and Enerchina Holdings Ltd (again. trail goes dead).

It relates to this charge (0940 2921 0002) - https://beta.companieshouse.gov.uk/comp ... nidyPQjTaU - from 21 June for $5,000,000, which it appears we have defaulted on.

What's interesting is Nigel Howe resigned from being a Director of the Holding company on 29 November. 2 days after the litigation was filed. He's still on the main club.

Court case was 01 December. Can't see the outcome anywhere.

Tom Nomuk (https://twitter.com/tomnomuk formerly at Reading https://www.readingfc.co.uk/news/2014/j ... -in-india/, now at Villa http://www.newsvoir.com/release/aston-v ... -7140.html) is drawing links to Samuelson and Obolensky (not sure if that's fact or 2+2=5) as being behind this company and them having filed litigation - claimed he was in the UK a fortnight or so back to go to court - he said Reading were given time to pay, but have to pay.

Also, the VIBRAC charge is still outstanding on Companies House against the main club. I'm assuming that should be shown as settled? Don't want Samuelson's grubby mitts anywhere near our club.

Looks like the club made a profit last year?

Yes, looks like there was a huge increase in matchday revenue - I'm guessing that will drop quite a bit this year!

And a big increase in commercial revenue (sponsorship and the like). If this is Ron Gourlay's doing, then I can see why they brought him in.

BE very interesting to see how much of the increase in turnover was due to the good season - must have made a fair bit from the televising of the 3 play off games, as well as the full house at the Madejski and Wembley

Looked like a much improved year on the surface of things.

Did notice in the notes at the end, the cost of recruitment (15.5m) in the summer wasn't included. Think next years accounts may well end up being pretty ugly

Guessing the make up of that 15.5 went something like:

Dadi 2
Bacuna 2
Aluko 5
Mannone 2
Barrow 2.5
Edwards 1
Clement 1

Assuming Ilori is included in the accounts.

Nothing to do with Gourlay as it predates his arrival.

I'm assuming that 15.5 would also include agent fees? We paid loads of fees in Steve Clarke's time, - I hope they have that a bit mroe under control

The 15.5m is transfers upto 30th June 2017 isn't it, so is money we spent on the likes of Moore, Ilori, Popa, Blackett, Harriott etc

Would also include staged payments on earlier transfers too, so could also include costs associated to transfers of Kermorgant, Bond, Rakkels or deals older than those.

It's the other way around - the 15.5mill is money spent since 1/7/2017. But, yes good point that it would include any staged payments for Ilori, Moore, Blackett etc

yes good points.

Looked a little high, especially if we also took off the smallish fees received for Samuel as well
